Agreement to Terms

These Terms of Service (Terms) constitute a legally binding agreement between you and Bhutan Groups Inc (we, us, or our), governing your access to and use of the website located at www.bhutangroups.lol (the Site) and all related services provided by Bhutan Groups Inc as the developer and operator.

Any engagement for services requires a separate written agreement detailing scope, deliverables, timelines, fees, and terms specific to the engagement.

Service Availability

We make reasonable efforts to ensure the Site is available at all times; however, we do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any aspect of the Site or Services at any time without prior notice or liability.

Payment Terms

Fees for professional services provided by Bhutan Groups Inc will be as set forth in the applicable service agreement. Unless otherwise specified:

• All fees are quoted in United States dollars (USD)
• Payment terms will be specified in the applicable invoice or service agreement
• Late payments may be subject to interest charges as permitted by applicable law
• The client is responsible for all applicable taxes, duties, and levies

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BHUTAN GROUPS INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of, or inability to access or use, the Site or Services
• Any conduct or content of any third party on the Site
• Any content obtained from the Site
• Unauthorized access, use, or alteration of your transmissions or content
• Any errors, mistakes, or inaccuracies of content on the Site

IN NO EVENT SHALL BHUTAN GROUPS INC TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITE OR SERVICES EXCEED THE GREATER OF ONE HUNDRED UNITED STATES DOLLARS ($100.00) OR THE AMOUNT YOU HAVE PAID TO BHUTAN GROUPS INC IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Disclaimer of Warranties

THE SITE AND ALL CONTENT AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. BHUTAN GROUPS INC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

Bhutan Groups Inc does not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Your use of the Site is at your own risk.

Indemnification

You agree to indemnify, defend, and hold harmless Bhutan Groups Inc and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys fees) arising out of or relating to:

Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the federal or state courts located in Utah County, Utah, and you consent to the personal jurisdiction of such courts.

Dispute Resolution

Before filing any formal legal proceeding, you agree to first contact us and attempt to resolve any dispute informally. If a dispute is not resolved within thirty (30) days of submission, either party may proceed to formal legal proceedings as provided in the Governing Law and Jurisdiction section above.

Modifications to Terms

Bhutan Groups Inc reserves the right to revise, amend, or modify these Terms at any time and for any reason at its sole discretion. Any changes will be effective immediately upon posting on the Site with an updated revision date.

Severability

Entire Agreement

These Terms, together with the Privacy Policy and any service agreements entered into with Bhutan Groups Inc, constitute the entire agreement between you and Bhutan Groups Inc regarding your use of the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties regarding the Site.
